Terms of Service

Welcome to milsiz. These Terms of Service ("Terms") govern your access to and use of the milsiz platform, including the website at milsiz.art, the application at app.milsiz.art, and any related services (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.
1. Definitions
In these Terms:
- "Platform" means the milsiz online service, owned and operated by milsiz LLC, that enables artists, venues, and curators to showcase, exhibit, and sell artworks.
- "milsiz", "we", "us", "our" means milsiz LLC (Wyoming, USA), the sole operator of the Platform.
- "User" means any individual or entity who accesses, registers for, or interacts with the Platform, including Visitors, Artists, Venues, Curators, and Buyers.
- "Artist" means a User who lists original artworks, prints, music, or related merchandise for sale or display on the Platform.
- "Venue" means a User (gallery, café, bar, hotel, co-working space, or other physical space) that hosts physical exhibitions of works listed on the Platform under a separate agreement with the Artist.
- "Curator" means a User who recommends Artist–Venue matches or curates exhibitions.
- "Buyer" or "Collector" means a User who purchases an artwork or related item through the Platform.
- "Artwork" means an original physical work, a print or reproduction of an original, a digital work (including music tracks), or a related item (e.g., merchandise, sticker) listed on the Platform.
- "Payment Infrastructure Provider" means the third-party payment integration used by milsiz to process secure buyer-side transactions (currently Stripe).
2. The Platform's Role
milsiz is a technical intermediary. We host listings, route buyer payments through our Payment Infrastructure Provider, route seller payouts through our Payout Infrastructure Provider, provide agreement templates, and facilitate communication between Users.
Each sale of an Artwork is a contract between the Artist (as seller) and the Buyer. Each Artist–Venue collaboration is a contract between the Artist and the Venue. milsiz is not a party to any of these contracts. milsiz is not an agent, broker, escrow agent, custodian of artworks, auctioneer, reseller, or curator of any party.
milsiz does not adjudicate disputes between Users. We surface contract terms, log communications, and provide audit data on request, but the resolution of any dispute is between the parties.
milsiz LLC is the sole contracting party for all Users globally.
3. Eligibility & Account
You must be at least 18 years old and have legal capacity to enter into binding contracts to use the Platform. By using the Platform you represent that you meet these requirements.
Account registration requires a valid email address, which must be verified before the account becomes active. You may also register via Google, Apple, or other supported login methods.
Each User is allowed to maintain only one account. All activity, whether as a Visitor, Artist, Venue, Curator, or Buyer, must be conducted from this single account.
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorised use. You agree not to use the Platform for any unlawful or prohibited activity (see Section 9).
4. Listings, Intellectual Property & Image Rights
Artists retain all rights in their artworks, including reproduction rights and moral rights. Listing a work on milsiz does not transfer ownership or reproduction rights. Moral rights are non-transferable.
By listing a work, the Artist grants milsiz LLC a non-exclusive, worldwide, royalty-free licence to display, host, and distribute images and metadata of the work for the purpose of operating the Platform and marketing the listing. This licence includes the right to feature the Artist's name, public profile, biography, portfolio visuals, and non-sensitive metadata across milsiz-owned or affiliated channels — including but not limited to the website, social media, newsletters, exhibitions, advertising campaigns, or third-party collaborations.
This promotional licence excludes the use or disclosure of any sensitive or private information such as financial data, bank account details, account earnings, residential addresses, or private contact information.
Reproduction in any form (prints sold off-Platform, derivative works, training of AI models, licensing to third parties) requires a separate written agreement with the Artist.
If you believe content on the Platform infringes your intellectual property, contact us at the address in Section 13. We operate a notice-and-action takedown procedure consistent with applicable law.
5. No NFTs, No Blockchain Minting, No AI Training
milsiz does not support, host, or facilitate the minting of NFTs (non-fungible tokens), the deployment of works to any blockchain, or the inclusion of works in any decentralised registry. Listings advertised as NFTs, fractional tokens, or blockchain-backed claims will be removed.
Content uploaded to the Platform may not be used by us or any third party for the training of artificial intelligence systems, machine-learning models, or generative-AI datasets without the Artist's prior written consent.
If you wish to mint or sell your work as an NFT, you must do so off the Platform and at your own responsibility. milsiz takes no role in such transactions and disclaims any liability arising from them.
6. Sales Between Artists and Buyers
Each sale is a contract between the Artist (seller) and the Buyer. The Artist is the seller of record and is responsible for issuing tax invoices where required by their local law, handling shipping, returns, and post-sale customer service. milsiz facilitates the sale via the Platform but is not a party to it.
Artists set their own prices. All prices are final unless otherwise specified by the Artist or required by applicable law. Where applicable, taxes (VAT, KDV, sales tax) are determined by the Buyer's billing country and the Artist's tax obligations.
Payments are processed through the Payment Infrastructure Provider. milsiz does not store or have access to complete payment-card information. By making a purchase, you authorise the Payment Infrastructure Provider to charge your payment method for the total amount of the order.
Payouts and Platform Fee
Sellers (Artists and, where applicable, Venues) receive their share of each completed sale via the Payout Infrastructure Provider, which delivers funds to the seller's IBAN. Payouts are initiated by the seller from their dashboard once their balance is no longer subject to chargeback or refund. Standard delivery time after initiation is up to ten (10) business days depending on the destination bank and corridor.
milsiz adds a 15% platform fee on top of the seller's listing price at checkout, paid by the Buyer. The fee covers our commission together with payment-processing, transfer, and routing costs. The seller receives their full listing price, less any venue commission they have agreed with the hosting venue.
Returns and refunds are governed by our Return Policy. Buyers in Türkiye, the EU/EEA, and the UK may have additional statutory rights of withdrawal under their local consumer-protection laws; these rights are described in the Return Policy and apply where required.
milsiz is not responsible for any payment, transfer, or transaction conducted outside the Platform (for example, in-person, by direct bank transfer, or to an Artist's personal account). Such transactions are entirely between the Artist and the Buyer; milsiz provides no guarantee, intermediation, or dispute resolution for them.
7. Collaborations Between Artists and Venues
Artists and Venues may enter into a separate Collaboration Agreement to host an exhibition or sell works through a Venue. milsiz provides a template; the parties sign it electronically; milsiz logs the acceptance.
Custody of physical artworks during a collaboration is a bailment: the Venue holds the works as a bailee for hire and owes a duty of reasonable care. Ownership remains with the Artist throughout. Insurance must be addressed in the Collaboration Agreement.
milsiz is not a party to the Collaboration Agreement. Disputes between the Artist and the Venue are resolved between them; we may surface contract terms and provide audit data on request, but we do not adjudicate.
8. Taxes & Local Compliance
milsiz does not directly collect or remit consumption taxes such as VAT, sales tax, or KDV on Artwork sales. The Payment Infrastructure Provider may calculate and collect taxes automatically depending on the Buyer's location and applicable law.
Artists are solely responsible for understanding and complying with tax obligations in their own jurisdictions, including income tax, VAT/KDV, and any other applicable local taxes. If required by law, Artists must issue invoices or tax documents to Buyers and report income according to the rules of their country.
For Artists based in Türkiye, KDV obligations may arise on sales to Buyers in Türkiye or abroad. Sellers are responsible for registering with the tax authorities and complying with relevant invoice and tax-reporting rules in Türkiye (including e-Arşiv where applicable).
For Artists based in the EU, VAT obligations under the OSS / IOSS regime may apply. EU-based Artists are responsible for VAT-compliant invoicing where required.
milsiz recommends that all Sellers consult with local tax advisors to ensure compliance with country-specific regulations.
9. Prohibited Activities
Users of the Platform are strictly prohibited from engaging in any of the following:
- Posting or distributing spam or repetitive content.
- Uploading content that infringes upon the intellectual property rights of others, including artworks the User does not own or is not authorised to sell.
- Using discriminatory, hateful, or offensive language targeting race, gender, ethnicity, religion, sexual orientation, or other protected characteristics.
- Sharing personal data or private information of others without explicit consent.
- Uploading or distributing sexually explicit, pornographic, or otherwise inappropriate material.
- Engaging in fraudulent behaviour, including impersonation, misrepresentation, or deceptive conduct.
- Listing works as NFTs, fractional tokens, or blockchain-backed claims (see Section 5).
- Attempting to manipulate, disrupt, or compromise the integrity, security, or performance of the Platform through unauthorised access, scraping, or automated tools.
We may remove content, suspend or terminate accounts, and take legal action in cases of repeated or severe misconduct. Violations may be reported to [email protected].
10. Privacy & Data Protection
Our processing of personal data is governed by our Privacy Policy.
If you are resident in Türkiye, additional disclosures under Law No. 6698 on the Protection of Personal Data (KVKK) apply. See our KVKK Aydınlatma Metni. milsiz LLC is the Data Controller; KVKK rights requests can be sent directly to [email protected].
If you are resident in the EU/EEA or the UK, the General Data Protection Regulation (GDPR) and equivalent local rules apply to our processing of your personal data. Your rights of access, rectification, erasure, objection, and portability are described in the Privacy Policy.
11. Limitation of Liability
The Platform is provided on an "as is" and "as available" basis. milsiz makes no warranties or guarantees regarding availability, reliability, or performance, and does not guarantee uninterrupted or error-free operation.
To the fullest extent permitted by applicable law, milsiz shall not be liable for any damages resulting from: (a) any interruption or unavailability of the Platform; (b) errors or delays caused by third-party services, including the Payment Infrastructure Provider and the Payout Infrastructure Provider; (c) User-generated content, including but not limited to copyright infringement, defamation, or data loss; (d) unauthorised access to or use of your account due to your negligence or failure to maintain security; or (e) the quality, accuracy, legality, or timely delivery of any Artwork sold by an Artist.
In no event shall milsiz LLC's total liability arising out of or in connection with these Terms exceed one hundred United States dollars (USD 100), regardless of the cause or nature of the claim. Certain jurisdictions do not allow some of the exclusions or limitations set out above (including for liability arising from intent, gross negligence, personal injury, or rights that may not be limited under consumer-protection law); in those jurisdictions the limitations apply only to the extent permitted by law.
While milsiz implements commercially reasonable security measures, no system is completely immune to unauthorised access. In the event of a data breach, we will investigate, notify affected Users, and mitigate harm in accordance with applicable data-protection laws. To the maximum extent permitted by law, milsiz shall not be liable for damages resulting from cyber attacks, data theft, system outages, or unauthorised access, unless caused by our gross negligence or wilful misconduct.
12. Cancellation, Termination & Suspension
You may cancel and permanently delete your account at any time through your account settings. Upon cancellation, your public profile and all published content will be removed from public view. Certain data — including transaction records, customer-support logs, and system-generated metadata — may be retained for up to twelve (12) months for internal use, security, or legal compliance.
We may suspend or permanently terminate any account, with or without prior notice, where: (a) the User violates these Terms or applicable law; (b) fraudulent, abusive, or suspicious activity is detected; (c) the User engages in copyright or other IP infringement; or (d) payment obligations are not met.
Personal data is retained according to our Privacy Policy. Where retention beyond the standard period is required by law (e.g., tax, anti-fraud, financial regulations), we comply with those requirements.
13. Force Majeure
milsiz shall not be liable for any failure or delay in the performance of its obligations under these Terms due to events beyond reasonable control, including natural disasters, war, terrorism, civil unrest, pandemic, government action, power outages, internet failures, or other unforeseeable and unavoidable circumstances. In such cases, milsiz's obligations are suspended for the duration of the event. Users will be notified where reasonably possible.
14. Changes to These Terms
We may update these Terms from time to time to reflect changes in our services or applicable law. The updated Terms will be posted with a revised "Last Updated" date. For material changes, we will provide reasonable notice (typically thirty (30) days) before the changes take effect, where applicable law requires it. Continued use of the Platform after the effective date constitutes acceptance of the updated Terms.
15. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict-of-law provisions.
In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the use of the Platform, the parties shall first attempt to resolve the matter amicably through good-faith negotiations and mediation.
If the dispute cannot be resolved through mediation, it shall be submitted to final and binding arbitration under the rules of the American Arbitration Association (AAA). The arbitration shall take place in Wyoming, USA, in the English language. The decision of the arbitrator shall be enforceable in any court of competent jurisdiction.
Notwithstanding the above, either party may seek injunctive or equitable relief in the courts of Wyoming to prevent actual or threatened infringement of intellectual property rights or unauthorised access to the Platform.
Where applicable consumer-protection law in your country of residence (including Türkiye, EU/EEA member states, and the UK) grants you rights that cannot be waived, those rights apply notwithstanding the foregoing. In Türkiye, consumers may bring claims before the Tüketici Hakem Heyeti or Tüketici Mahkemesi at their place of residence as provided by Law No. 6502.
